These Terms of Service (“Terms”) govern access to and use of the Ampfold platform and related services provided by Merchard, LLC (“Merchard,” “Ampfold,” “we,” “us,” or “our”).
By creating an account, accessing, or using Ampfold, you agree to these Terms. If you do not agree to these Terms, you may not use the Service.
1. Introduction
Ampfold is a software platform that enables creators of virtual worlds and digital experiences to create, manage, and monetize sponsorship opportunities through recurring sponsorship placements.
Ampfold provides software infrastructure that allows creators to build sponsorship storefronts, define digital display spaces, manage sponsorship relationships, process payments, and manage subscription-based sponsorship arrangements.
Ampfold does not operate as an advertising marketplace, advertising agency, broker, or seller of sponsorship inventory. Ampfold does not own, control, curate, verify, or guarantee creator sponsorship opportunities.
Creators independently create and manage their own sponsorship listings and relationships with sponsors. Sponsors independently select sponsorship opportunities and purchase access to creator-defined display spaces.

2. Definitions
For purposes of these Terms:
“Ampfold” or “Service” means the Ampfold software platform, websites, applications, tools, features, and related services provided by Merchard.
“Creator” means a user who uses Ampfold to create, manage, and monetize sponsorship opportunities associated with virtual worlds or digital experiences.
“Sponsor” means a user who purchases recurring sponsorship placements through creator-operated listings.
“Listing” means a creator-created sponsorship page, offer, or description of a digital display opportunity.
“Sponsorship Placement” means a creator-defined digital display opportunity, including signs, posters, billboards, screens, branded areas, or other virtual placements.
“Sponsor Content” means logos, images, advertisements, branding, text, or other materials submitted by sponsors.
“Creator Content” means listings, descriptions, world information, placement details, and other materials submitted by creators.
3. Eligibility
You must be at least 18 years old to use Ampfold.
By using Ampfold, you represent that:
• you are legally capable of entering into these Terms;
• you have authority to create an account;
• all information you provide is accurate and complete;
• your use of Ampfold complies with applicable laws and regulations.
Ampfold may refuse access to any person or entity at its discretion where permitted by law.
4. Account Responsibilities
You are responsible for maintaining the confidentiality and security of your account credentials.
You agree to:
• provide accurate account information;
• keep account information current;
• protect your login credentials;
• notify Ampfold of unauthorized account access;
• use the Service only for lawful purposes.
You are responsible for all activity conducted through your account.
You may not:
• create fraudulent accounts;
• impersonate another person or entity;
• interfere with platform operations;
• misuse payment systems;
• attempt unauthorized access to the Service.
5. Creator Terms
Creators use Ampfold as independent users to create and manage sponsorship opportunities.
Creators are solely responsible for:
• owning or controlling the virtual worlds, spaces, or digital environments associated with their listings;
• having all necessary rights and permissions to offer sponsorship placements;
• implementing sponsorship placements;
• communicating with sponsors;
• complying with applicable advertising, intellectual property, consumer protection, and other laws;
• complying with third-party platform rules, including VRChat policies;
• paying applicable taxes on earnings.
Creators determine their own:
• sponsorship opportunities;
• pricing;
• placement details;
• availability;
• sponsor relationships.
Creators are independent parties and are not employees, contractors, agents, partners, representatives, or affiliates of Merchard or Ampfold.
Ampfold does not guarantee that creators will obtain sponsors, generate revenue, or achieve any particular business outcome.
6. Sponsor Terms
Sponsors may purchase sponsorship placements through creator-operated listings.
Sponsors acknowledge that they are purchasing access to creator-defined display space and are not purchasing:
• ownership of a virtual world;
• ownership of a community;
• guaranteed traffic;
• guaranteed impressions;
• guaranteed views;
• guaranteed conversions;
• guaranteed business results.
Sponsors are responsible for reviewing sponsorship opportunities before purchase and determining whether a placement meets their needs.
Ampfold does not guarantee the quality, performance, audience, availability, or effectiveness of any creator sponsorship placement.
7. Sponsorship Subscriptions
Ampfold supports recurring sponsorship subscriptions.
When a sponsor purchases a sponsorship placement, the sponsor authorizes recurring charges through supported payment providers unless the subscription is cancelled.
Subscriptions continue until cancelled or otherwise terminated under these Terms.
Creators and sponsors are responsible for managing their sponsorship relationships. Ampfold provides software tools to facilitate these relationships but does not control the underlying commercial arrangement.
8. Payments and Fees
Payments are processed through third-party payment providers, including Stripe.
Ampfold currently charges a platform fee of 10% of successful sponsorship payments, plus applicable payment processing fees.
Ampfold may modify fees in the future. Any fee changes will apply prospectively and will be communicated through reasonable notice.
Users are responsible for any taxes, duties, or governmental charges associated with their use of Ampfold or payments received through the Service.
9. Refunds and Cancellations
Refunds and subscription cancellations are separate actions.
A refund returns money associated with a payment. A refund does not automatically:
• cancel a subscription;
• terminate a sponsorship relationship;
• prevent future subscription charges.
Sponsors must separately cancel subscriptions to prevent future billing.
Ampfold may process refunds where appropriate, including in accordance with creator settings, platform requirements, payment provider rules, or applicable law.
10. Creator Earnings and Adjustments
Creator earnings are based on successful payments received through Ampfold.
Creator earnings may be reduced by:
• Ampfold platform fees;
• payment processing fees;
• refunds;
• chargebacks;
• disputes;
• failed payments;
• reversals;
• account adjustments.
Displayed balances are estimates and are not final until payment settlement is complete.
If a sponsor payment is refunded, disputed, reversed, or otherwise adjusted after creator earnings have been recorded, Ampfold may:
• reverse previously credited earnings;
• deduct amounts from future payouts;
• create a negative account balance;
• offset future earnings.
11. Content Ownership and Licenses
Users retain ownership of content they submit to Ampfold.
Creators retain ownership of Creator Content. Sponsors retain ownership of Sponsor Content.
By submitting content to Ampfold, you grant Merchard a limited, worldwide, non-exclusive, royalty-free license to use, reproduce, display, process, and distribute that content solely as necessary to:
• operate and provide the Service;
• display listings;
• facilitate sponsorship transactions;
• process payments;
• provide previews and platform functionality;
• maintain business records.
You represent that you have all necessary rights to submit your content and grant these rights.
12. Sponsor Content Rules
Sponsors must only submit content they have the legal right to use.
Sponsors may not submit content that:
• infringes intellectual property rights;
• violates applicable law;
• is misleading or deceptive;
• contains unlawful material;
• violates third-party platform rules;
• creates legal risk for Ampfold or creators.
Ampfold and creators may reject, remove, or disable content that violates these Terms or creates legal, operational, or reputational risk.
13. Acceptable Use
You may not use Ampfold to:
• commit fraud;
• violate laws;
• distribute malicious software;
• interfere with platform security;
• exploit payment systems;
• upload prohibited content;
• harm other users;
• circumvent platform restrictions.
14. Third-Party Services
Ampfold may integrate with third-party services. Your use of those services may be subject to separate terms and policies.
Ampfold is not responsible for third-party services, availability, performance, security, or actions.
15. Stripe and Payment Processing
Ampfold uses Stripe for payment processing and creator payouts.
Stripe may provide services including:
• payment processing;
• connected accounts;
• identity verification;
• payouts;
• fraud prevention;
• dispute management.
Users may be required to accept Stripe’s terms and provide information directly to Stripe.
Ampfold may delay, hold, or restrict availability of creator earnings for a period of time before funds become eligible for payout. This may include settlement periods, fraud prevention reviews, payment processing requirements, refunds, disputes, chargebacks, and other adjustments.
Ampfold does not control Stripe decisions. Stripe may delay payments, hold funds, require verification, restrict accounts, or reverse transactions.
16. VRChat Disclaimer
Ampfold is not affiliated with, endorsed by, sponsored by, or approved by VRChat Inc.
Creators and sponsors are solely responsible for complying with applicable VRChat:
• Terms of Service;
• Community Guidelines;
• intellectual property policies;
• platform rules.
Changes to VRChat policies, technology, or platform functionality may affect Ampfold features or integrations.
17. Beta Service Provisions
Ampfold is an evolving early-stage service and may include beta features.
The Service may change over time, including through:
• feature updates;
• modifications;
• temporary limitations;
• removals;
• pricing changes;
• bug fixes;
• improvements.
Ampfold does not guarantee that the Service will always be uninterrupted, error-free, or available.
18. Suspension and Termination
Ampfold may suspend or terminate accounts where we reasonably believe necessary, including for:
• violations of these Terms;
• fraud or abuse;
• payment issues;
• legal risk;
• security concerns;
• misuse of the Service.
You may stop using Ampfold at any time.
Termination does not eliminate obligations that arose before termination, including payment obligations, licenses, indemnification obligations, and limitations of liability.
19. Privacy Reference
Your use of Ampfold is also subject to applicable privacy practices and policies published by Ampfold.
You are responsible for reviewing applicable privacy information regarding collection and use of personal information.
20. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMPFOLD IS PROVIDED “AS IS” AND “AS AVAILABLE.”
Merchard disclaims warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of:
• merchantability;
• fitness for a particular purpose;
• non-infringement;
• availability;
• accuracy;
• reliability.
Ampfold does not guarantee:
• sponsorship opportunities;
• creator earnings;
• sponsor performance;
• creator performance;
• audience size;
• traffic;
• impressions;
• conversions;
• business outcomes.
Ampfold provides software infrastructure only.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERCHARD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
(1) THE AMOUNT YOU PAID TO AMPFOLD DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR
(2) ONE HUNDRED U.S. DOLLARS ($100).
22. Indemnification
You agree to defend, indemnify, and hold harmless Merchard, Ampfold, and their affiliates, officers, employees, and service providers from claims, damages, liabilities, expenses, and costs arising from:
• your use of the Service;
• your content;
• your sponsorship relationships;
• your violation of these Terms;
• your violation of laws or third-party rights.
23. Arbitration and Class Action Waiver
To the extent permitted by applicable law, disputes arising from or relating to these Terms or the Service will be resolved through binding arbitration rather than litigation.
The parties waive participation in class actions, class arbitrations, and representative proceedings.
The arbitration procedures, exceptions, and enforceability of this provision should be reviewed by legal counsel before publication.
24. Texas Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
Any disputes not subject to arbitration will be resolved in the applicable courts located in Texas.
25. Changes to Terms
Ampfold may update these Terms from time to time.
Updated Terms will become effective when posted or on a stated effective date. Continued use of Ampfold after changes become effective constitutes acceptance of the updated Terms.
